Terms of Service

1. Scope of Services

Prionex Studio provides commercial and editorial photography, retouching, and related creative services across Canada.
Services, deliverables, schedule, and fees are set in each Statement of Work (SOW) or booking confirmation.
Any change to scope requires written approval and may affect timing and pricing.

To secure a booking, a non‑refundable retainer of 30% is due upon confirmation unless stated otherwise.
Remaining fees are due upon delivery of proofs or final assets, whichever occurs first.
We accept major cards and e‑transfer in CAD. Late payments accrue 2% monthly (24% annually).
Travel, rentals, permits, studio, and third‑party costs are billable at cost plus 15% production fee unless included in SOW.

Client‑initiated cancellations: the retainer is non‑refundable; expenses incurred are payable in full.
Rescheduling with 5+ business days’ notice may be accommodated, subject to availability and additional costs.
Weather holds: we allow one courtesy reschedule for verified weather‑dependent shoots.

Unless expressly transferred in writing, all rights remain with Prionex Studio. Client receives a non‑exclusive, non‑transferable license for the use specified in the SOW.
Third‑party or extended usage (e.g., paid ads, OOH, global) requires additional licensing.
No AI training rights are granted. Datasets and models may not include our images without explicit written license.
Crew credits and behind‑the‑scenes usage may be used by us for portfolio and self‑promotion unless NDA applies.

Provide timely feedback, access, and approvals. Ensure talent and property releases where applicable.
Appoint a single point of contact authorized to make binding decisions on behalf of Client.
Back up delivered assets. We may archive for 6 months but are not a data-storage provider.

We maintain confidentiality of non‑public information shared for the project. NDAs will be honored.
We process personal data only to operate and deliver services, following Canadian privacy laws.

Proofs are delivered via secure gallery or download link. Finals are supplied in high‑resolution JPEG/PNG/TIFF as agreed.
Turnaround times begin once all materials and approvals are received.
We may remove galleries after 60 days; please download and verify promptly.

Unless stated otherwise, one round of standard retouching is included. Additional rounds are billed per SOW rates.
Subjective changes after approval may incur additional fees.

To the fullest extent permitted by law, total liability for any claim is limited to the amounts paid for the specific SOW giving rise to the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits.
We carry standard liability insurance; certificates available upon request.

Client will indemnify and hold harmless Prionex Studio from claims arising out of Client materials, directions, or unlawful use of the deliverables.

Neither party is liable for delays or failures due to events beyond reasonable control, including severe weather, illness, equipment failure, strikes, or acts of government.

These terms are governed by the laws of the Province of British Columbia and applicable federal laws of Canada.
Venue for any dispute will be in British Columbia, Canada.

Parties will first attempt good‑faith negotiation, then mediation. If unresolved, disputes may proceed to litigation in the courts of British Columbia.

We may update these terms from time to time. Material changes will be highlighted on this page with a new effective date.
